|AutoNation Inc., a Delaware corporation was incorporated in 1991. The Company, through its subsidiaries, is an automotive retailer in the United States. As of December 31, 2012, the company owned and operated 265 new vehicle franchises from 221 stores located in the United States, predominantly in major metropolitan markets in the Sunbelt region. The Company offers a range of automotive products and services, including new vehicles, used vehicles, parts and automotive services, and automotive finance and insurance products. It also arranges financing for vehicle purchases through third-party finance sources. It had three operating segments: Domestic, Import, and Premium Luxury. Its Domestic segment is comprised of retail automotive franchises that sell new vehicles manufactured by General Motors, Ford, and Chrysler. Its Import segment is comprised of retail automotive franchises that sell new vehicles manufactured mainly by Toyota, Honda, and Nissan. Its Premium Luxury segment is comprised of retail automotive franchises that sell new vehicles manufactured mainly by Mercedes, BMW, and Lexus. The franchises in each segment also sell used vehicles, parts and automotive repair and maintenance services, and automotive finance and insurance products. Its Strategy is to deliver a positive customer experience at its stores, Leverage its significant scale to improve its operating efficiency, Increase its productivity and Build a powerful brand in each of its local markets. It owns a number of registered service marks and trademarks, including, among other marks, AutoNation® and AutoNation®. Pursuant to agreements with vehicle manufacturers, it has the right to use and display manufacturers’ trademarks, logos, and designs at its stores and in its advertising and promotional materials, subject to certain restrictions. The Company faces competition from several public companies that operate numerous automotive retail stores on a regional or national basis, including franchised dealers that sell new and used vehicles as well as non-franchised dealers that sell only used vehicles, private companies that operate automotive retail stores in its markets, and online marketplaces. It also faces competition from a range of financial institutions in its finance and insurance and aftermarket products businesses. The Company’s operations are subject to extensive governmental laws and regulations.|
