DESCRIPTION
| Lime Energy Co. was formed on December 5, 1997 as Electric City LLC. It is a provider of integrated energy engineering, consulting and implementation solutions specializing in improving the energy efficiency of its clients’ facilities, thereby reducing their operating costs and carbon emissions. The Company focuses on two specific markets: the commercial and industrial market, and the public sector market, working primarily with energy service companies (ESCOs). Its clients include commercial and industrial businesses, property owners and managers, utilities, and ESCOs serving U.S. government and educational institutions. The Company focuses on deploying solutions to reduce the energy-related expenditures of its clients’ facilities and the impact of their energy use on the environment, including energy efficient lighting upgrades, energy efficiency mechanical and electrical retrofit and upgrade services, water conservation, weatherization and renewable project development and implementation. It provides energy efficiency solutions across all of its clients’ facilities, ranging from high-rise office buildings to manufacturing plants, retail sites, mixed use complexes and large, government sites to small, local facilities. The Company offers its clients a full range of services to address the energy efficiency needs of their facilities based on its ability to identify and deliver significant return on its clients’ investments, improve the quality of their physical workspaces, maximize their operational savings and reduce their maintenance costs. The Energy Consulting and Technical Services business unit provides consulting, engineering and program management services for clients in the areas of energy efficiency, renewable energy and sustainability. The Company utilizes its technical expertise to help Lime’s clients meet their goals for energy use reduction, energy cost savings and carbon management. Its clients are in a wide variety of sectors, including commercial, industrial, and utilities, institutional and governmental. Its services include: Energy Project Development; Energy Engineering; Consulting; Energy Master Planning; and Utility Program Management. It provides in-house, turnkey implementation services to deliver its energy efficiency solutions to its clients. The market for energy efficiency solutions is highly fragmented. The Company faces competition mainly from companies only offering a sub-set of its offerings, such as lighting or mechanical and electrical conservation services. As a Delaware corporation, the Company is subject to certain Delaware anti-takeover provisions, including the application of Section 203 of the Delaware General Corporation Law. |
