DESCRIPTION
| Tempur-Pedic International, Inc., was incorporated under the laws of the State of Delaware in September 2002. The Company is a global manufacturer, marketer and distributor of premium mattresses and pillows, which it sells globally in 80 countries under the TEMPUR(r) and Tempur-Pedic(r) brands. It sells its mattresses and pillows through four distribution channels: Retail i.e. furniture and specialty stores, as well as department stores internationally; Direct i.e. direct response and internet; Healthcare i.e. chiropractors, medical retailers, hospitals and other healthcare markets; and Third party distributors in countries where it does not sell directly through its own subsidiaries. It has two reportable business segments: North America and International. The North American operating segment consists of two U.S. manufacturing facilities and its North American distribution subsidiaries. The International segment consists of its manufacturing facility in Denmark, whose customers include all of its distribution subsidiaries and third party distributors outside the North American operating segment and company-owned stores. The Company’s premium mattresses compete with a number of different types of premium and standard mattress alternatives, including innerspring mattresses, foam mattresses, waterbeds, futons, air beds and other air-supported mattresses that are sold through a variety of channels, including furniture and bedding stores, department stores, mass merchants, wholesale clubs, telemarketing programs, television infomercials and catalogs. Its operations are subject to state, local and foreign consumer protection and other regulations relating to the mattress and pillow industry. |
