DESCRIPTION
| SAIC, Inc. is a Delaware corporation. It is a provider of scientific, engineering, systems integration and technical services and solutions to all branches of the U.S. military, agencies of the U.S. Department of Defense (DoD), the intelligence community, the U.S. Department of Homeland Security (DHS) and other U.S. Government civil agencies, state and local government agencies, foreign governments and customers in select commercial markets. Its business is focused on solving issues of national and global importance in the areas of defense, intelligence, homeland security, logistics and product support, systems engineering and integration and research and development. The Company is also focused on expanding its business in the areas of energy, health, environment, cyber security and space superiority. It has three reportable segments: Government, Commercial, and Corporate and Other. Its operating business units are aggregated into the Government or Commercial segments, depending on the nature of the customers served, the contractual requirements and the regulatory environment governing the business unit’s operations. The Company’s Government segment provides an array of technical services and solutions mainly to U.S. federal, state and local government agencies and foreign governments. Its Commercial segment mainly targets commercial customers worldwide in select industry markets, which currently include oil and gas, utilities and life sciences. While the Commercial segment provides an array of information technology (IT) systems integration and advanced technical services, the focused offerings include applications and IT infrastructure management, data lifecycle management, and business transformation services. The acquisition of businesses is part of the Company’s growth strategy and a portion of its growth would come from recent and future acquisitions. During the last five fiscal years, it completed 20 acquisitions. The Corporate and Other segment includes the operations of the Company’s internal real estate management subsidiary, various corporate activities and certain corporate expense items that are not reimbursed by its U.S. Government customers. The Company’s business is highly competitive in both the Government and Commercial segments. It competes with larger companies that have greater name recognition, financial resources and larger technical staffs. It also competes with smaller, more specialized companies that are able to concentrate their resources on particular areas. In the Government segment, it competes with the U.S. Government’s own capabilities and federal non-profit contract research centers. The Company’s operations, including the environmental consulting, logistics services and investigative services it provides to third parties, and its ownership or operation of real property are subject to a number of foreign, federal, state and local environmental protection and health and safety laws and regulations. |
