|Waste Management Inc was incorporated in Oklahoma in 1987 under the name USA Waste Services, Inc. and was reincorporated as a Delaware company in 1995. The Company uses waste to create energy. The Company provides comprehensive waste management environmental services. It partners with its residential, commercial, industrial and municipal customers and the communities it serves to manage and reduce waste at each stage from collection to disposal, while recovering valuable resources and creating clean, renewable energy. The Company’s Solid Waste business is operated and managed locally by its subsidiaries and provides collection, transfer, recycling and resource recovery, and disposal services. Through its subsidiaries, it also develops, owns and operates waste-to-energy and landfill gas-to-energy facilities in the United States. The Company owns or operates 267 landfill sites and manages 300 transfer stations that consolidate, compact and transport waste efficiently and economically. The Company’s method involves recovering the gas produced naturally as waste decomposes in landfills and using the gas in generators to make electricity. Its subsidiary, Wheelabrator Technologies, Inc., also uses waste to create energy by operating highly efficient waste combustion plants that produce clean, renewable energy. The Company recycles handling materials that include paper, cardboard, glass, plastic, metal and electronics and provides cost-efficient, environmentally sound recycling programs for municipalities, businesses and households across the U.S. and Canada. The Company has three reportable segments: - Solid Waste business: Tier 1, which is comprised almost exclusively of Areas in the Southern United States; Tier 2, which is comprised predominately of Areas located in the Midwest and Northeast United States; and Tier 3, which encompasses all remaining Areas, including the Northwest and Mid-Atlantic regions of the United States and Eastern Canada. The Company’s Wheelabrator business provides waste-to-energy services and manages waste-to-energy facilities and independent power production plants. It provides recycling brokerage services, which involves managing the marketing of recyclable materials for third parties. It also offers electronics recycling by recycling discarded computers, communications equipment, and other electronic equipment. Services include the collection, sorting and disassembling of electronics to reuse or recycle all collected materials. The Company’s WM Sustainability Services offers services such as in-plant services, where its employees work full-time inside its customers’ facilities to provide full-service waste management solutions and consulting services; specialized disposal services for oil and gas exploration and production operations and services associated with the disposal of fly ash, residue generated from the combustion of coal and other fuel stocks. Its vertically integrated waste management operations provide customers with full management of their waste. It develops, operates and promotes projects for the beneficial use of landfill gas through its WM Renewable Energy Program where landfill gas is produced naturally as waste decomposes in a landfill. As on December 31, 2013, it had 137 landfill gas beneficial use projects producing commercial quantities of methane gas at 124 of its solid waste landfills and four third-party landfills. The Company faces competition from governmental, quasi-governmental and private sources in all aspects of its operations. Its business is subject to extensive and evolving federal, state or provincial and local environmental, health, safety and transportation laws and regulations.|
