DESCRIPTION
| Northern Oil & Gas, Inc. was reincorporated in the State of Minnesota from the State of Nevada pursuant to a plan of merger between Northern Oil and Gas, Inc., a Nevada corporation, and Northern Oil and Gas, Inc., a Minnesota corporation and wholly-owned subsidiary of the Nevada Corporation. The Company is engaged in the acquisition, exploration, development and production of crude oil and natural gas properties, primarily in the Bakken and Three Forks formations within the Williston Basin in North Dakota and Montana. It is engaged in crude oil and natural gas exploration and production by participating on a ‘heads-up’ basis alongside third-party interests in wells drilled and completed in spacing units that include its acreage. It typically depends on drilling partners to propose, permit and initiate the drilling of wells. It acquired approximately 43,239 net mineral acres at an average cost of approximately $1,832 per net acre recently. Additionally, it participated in the completion of 354 gross wells with a 100% success rate in the Bakken and Three Forks formations during 2011. As of December 31, 2012, its principal assets included approximately 179,131 net acres located in the Williston Basin region of the northern United States and approximately 1,281 net acres located in Yates County, New York. Its operations are subject to various rules, regulations and limitations impacting the crude oil and natural gas exploration and production industry as whole. |
