DESCRIPTION
OfficeMax Inc is a Delaware corporation, a Delaware corporation, in 1931 as a successor to an Idaho corporation formed in 1913. In 1957, the Company's name was changed to Boise Cascade Corporation. On December 9, 2003, the Company’s name was changed from Boise Cascade Corporation to OfficeMax Incorporated. The Company is involved in both business-to-business and retail office products distribution. It provides office supplies and paper, print and document services, technology products and solutions and office furniture to large, medium and small businesses, government offices and consumers. The Company manages its business using three reportable segments: OfficeMax, Contract (‘Contract segment’); OfficeMax, Retail (‘Retail segment ‘and Corporate) and Other. The Contract segment distributes a broad line of items for the office, including office supplies and paper, technology products and solutions, office furniture and prints and document services. Contract sells directly to large corporate and government offices, as well as to small and medium-sized offices in the United States, Canada, Australia and New Zealand. This segment markets and sells through field salespeople, outbound telesales, catalogs, the Internet and in some markets, including Canada, Australia and New Zealand, through office products stores. The Retail segment is a retail distributor of office supplies and paper, print and document services, technology products and solutions and office furniture. In addition, this segment contracts with large national retail chains to supply office and school supplies to be sold in their stores. Its retail office supply stores feature OfficeMax ImPress, an in-store module devoted to print-for-pay and related services. Retail has operations in the United States, Puerto Rico and the U.S. Virgin Islands. The Corporate and Other segment includes support staff services and certain other legacy expenses as well as the related assets and liabilities. The Company competes with contract stationers, office supply superstores including Staples and Office Depot, mass merchandisers such as Wal-Mart and Target, wholesale clubs such as Costco, computer and electronics superstores such as Best Buy, Internet merchandisers such as Amazon.com, direct-mail distributors, discount retailers, drugstores and supermarkets, as well as the direct marketing efforts of manufacturers, including some of its suppliers.
