|Take-Two Interactive Software, Inc. was incorporated under the laws of the State of Delaware in 1993. The Company is a publisher, developer and distributor of interactive entertainment software and hardware. The Company’s publishing business consists of its wholly-owned labels Rockstar Games and 2K, which publishes its titles under 2K Games, 2K Sports and 2K Play. It develops, markets and publishes software titles for the gaming and entertainment hardware platforms including: Sony's PlayStation®3 (PS3) and PlayStation®2 (PS2) computer entertainment systems; Sony's PSP® (PlayStation®Portable) (PSP) system; Microsoft's Xbox 360® (Xbox 360) video game and entertainment system; Nintendo's Wii(tm) (Wii) and DS(tm) (DS) systems; and for the PC and Games for Windows®. It also selectively develops and publishes titles for digital distribution via Sony's PlayStation®Network (PSN) and Microsoft's Xbox LIVE® Marketplace (Xbox LIVE) and Xbox LIVE® Arcade (XBLA), as well as digitally offers its PC titles through online download stores and services such as Steam. It has also begun to develop and publish titles for the iPhone(tm) and iPod® touch. The global installed base for the prior generation of platforms, including PS2 and DS (prior generation platforms) is substantial. Some of the intellectual property rights it has created or acquired for its internally-owned portfolio of brands are: Agent, BioShock, Bully, Carnival Games, Darkness, Grand Theft Auto, Mafia, Manhunt, Max Payne, Midnight Club, Railroad Tycoon, Red Dead, Rockstar Games Presents Table Tennis, Sid Meier's Civilization, Sid Meier's Pirates!, Sid Meier's Railroads!, Smuggler's Run, Spec Ops, and Top Spin. It has entered into license agreements with Sony, Microsoft, Nintendo and Apple to develop and publish software in Australia, Europe and North America. The Company sells software titles to retail outlets in the United States, Europe, Canada, Latin America and Asia Pacific through direct relationships with large retail customers and third-party distributors. It operates in a competitive environment. It is subject to certain risks because of its international operations, particularly as it seeks to grow its business and presence outside of the United States.|
