DESCRIPTION
| Sirius XM Radio Inc. is incorporated in Delaware. It broadcasts its music, sports, news, talk, entertainment, traffic and weather channels in the United States for a subscription fee through its proprietary satellite radio systems: the SIRIUS system and the XM system. In July 2008, its wholly owned subsidiary, Vernon Merger Corporation, merged with and into XM Satellite Radio Holdings Inc. and, as a result, XM Satellite Radio Holdings Inc. is now its wholly owned subsidiary. The SIRIUS system consists of four in-orbit satellites, over 125 terrestrial repeaters that receive and retransmit signals, satellite uplink facilities and studios. The XM system consists of four in-orbit satellites, over 650 terrestrial repeaters that receive and retransmit signals, satellite uplink facilities and studios. Subscribers can also receive certain of its music and other channels over the Internet. Its satellite radios are primarily distributed through automakers (‘OEMs’); nationwide through retail locations; and through its websites. SIRIUS and XM radios are also offered to customers of rental car companies. In certain cases, automakers include a subscription to its radio services in the sale or lease price of vehicles. The length of these prepaid subscriptions varies, but is typically three to twelve months. In many cases, it receives subscription payments from automakers in advance of the activation of its service. The Company also reimburses various automakers for certain costs associated with satellite radios installed in their vehicles. It also has an interest in the satellite radio services offered in Canada. It offers a dynamic programming lineup of more than 135 channels of commercial-free music, sports, news, talk, entertainment, and traffic and weather on each of the SIRIUS platform and the XM platform — of which 104 channels are available to subscribers on both platforms. The Company also offers family friendly, ‘mostly music’ and ‘mostly sports, news and talk’ packages. The SIRIUS platform offers 69 channels and the XM platform offers 71 channels of commercial-free music. Each platform offers an extensive selection of music genres, ranging from rock, pop and hip-hop to country, dance, jazz, Latin and classical. Within each genre it offers a range of formats, styles and recordings. It offers a multitude of talk and entertainment channels for a variety of audiences. The Company offers a range of national, international and financial news, including news from BBC World Service News, Bloomberg Radio, CNBC, CNN, FOX News, NPR and World Radio Network. It also airs a range of political call-in talk shows on a variety of channels including its exclusive channel, POTUS. It sells satellite radios directly to consumers through its websites. Satellite radios are also marketed and distributed through major national and regional retailers. The Company develops in-store merchandising materials and provides sales force training for several retailers. It designs, establish specifications for, source or specify parts and components for, and manage various aspects of the logistics and production of SIRIUS and XM radios. The company faces significant competition for both listeners and advertisers. SIRIUS has registered, and intends to maintain, the trademark ‘SIRIUS’ and the ‘Dog design’ logo with the United States Patent. |
