|Papa John's International Inc., was founded in 1985 and incorporated in Delaware. The Company in operates and franchises pizza delivery and carryout restaurants and, in certain international markets, dine-in and delivery restaurants under the trademark “Papa John’s”. There are 4,428 Papa John’s restaurants in operation, consisting of 723 Company-owned and 3,705 franchised restaurants operating domestically in all 50 states and in 34 countries. Its Company-owned restaurants include 191 restaurants operated under four joint venture arrangements and 58 units in Beijing and North China. The Company operates in the following segments: domestic Company-owned restaurants, domestic commissaries (Quality Control Centers), and North America franchising, international operations. The domestic Company-owned restaurant segment consists of the operations of all domestic Company-owned restaurants and derives its revenues principally from retail sales of pizza and side items, such as breadsticks, cheesesticks, chicken poppers, chicken wings, dessert pizza and soft drinks to the general public. The domestic commissary segment consists of the operations of its regional dough production and product distribution centers and derives its revenues principally from the sale and distribution of food and paper products to domestic Company-owned and franchised restaurants. The North America franchising segment consists of its franchise sales and support activities and derives its revenues from sales of franchise and development rights and collection of royalties from its franchisees located in the United States and Canada. The international operations segment principally consists of the Company-owned restaurants and distribution sales to franchised Papa John’s restaurants located in the United Kingdom, Mexico and China and its franchise sales and support activities, which derive revenues from sales of franchise and development rights and the collection of royalties from its international franchisees. International franchisees are defined as all franchise operations outside of the United States and Canada. In addition to its fresh dough traditional crust pizza, it offers a thin crust pizza, which is a par-baked product produced by a third-party vendor. Its traditional crust pizza offers a container of special garlic sauce and a pepperoncini pepper. Each thin crust pizza is served with a packet of special seasonings and a pepperoncini pepper. The Company’s competitors include international, national and regional chains, as well as a large number of local independent pizza operators. The Company, along with its franchisees, are subject to various federal, state and local laws affecting the operation of its respective businesses. The Company owns the federal registration of the trademark “Papa John’s”.|
